Goal Go-Getters Licensing Agreements
GOAL GO-GETTERS PRODUCT & ORGANIZATIONAL LICENSE AGREEMENT

This Product & Organizational License Agreement (“Agreement”) governs the use of products, content, materials, frameworks, methodologies, resources, and licenses provided by Goal Go-Getters LLC (“Goal Go-Getters,” “we,” “us,” or “our”).
By purchasing, accessing, downloading, using, or renewing a Goal Go-Getters product or license, you (“You,” “Your,” “User,” or “Organization,” as applicable) agree to be bound by this Agreement.
If you do not agree to this Agreement, you may not access or use the applicable products, materials, or license rights.
1. Products, Frameworks & Materials Covered
This Agreement applies to Goal Go-Getters products, frameworks, methodologies, content, and materials, including, but not limited to:
The proprietary IDEAL Leadership Framework™ and its supporting methodology;
IDEAL Leadership Framework™ Guides and related implementation resources;
Training Courses and educational content;
Leadership development tools, exercises, worksheets, planning resources, and discussion materials;
Team-building activities, facilitation resources, and supporting materials, including Introducing With Passion Improv™;
Calendar planners, physical planners, digital planners, and printable resources;
Videos, presentations, documentation, and other educational materials;
Organizational licenses and related implementation rights; and
Future Goal Go-Getters products and resources unless different terms are provided at the time of purchase.
For purposes of this Agreement, these items may collectively be referred to as “Products” or “Licensed Materials,” as applicable.
Ownership of a purchased physical product transfers to the purchaser as a physical item. Purchasing a physical product does not transfer ownership of the intellectual property contained within it or grant reproduction, redistribution, or expanded usage rights beyond those expressly provided by this Agreement.
All intellectual property rights remain the property of Goal Go-Getters LLC.
2. Individual & Single-Team Product Use
A separate Organizational License is not required when applicable Goal Go-Getters Products are purchased for use by one individual or one internal team.
Unless otherwise stated for a specific Product, standard product purchase permits:
Use by the individual purchaser or one internal team;
Internal use for the intended purpose of the Product; and
Completion and use of exercises, worksheets, planning tools, editable fields, and other interactive portions of the Product as intended.
Standard product purchase does not provide organization-wide usage rights or permission to distribute Products or Licensed Materials across multiple teams, departments, managers, business units, or locations.
Goal Go-Getters reserves the right to determine whether a proposed use falls within individual or single-team use when the scope of use is unclear or unusually large.
3. IDEAL Leadership Organizational License
Organizations seeking to implement IDEAL and applicable Goal Go-Getters Products across multiple leaders, teams, departments, business units, or locations require an active IDEAL Leadership Organizational License in addition to purchasing the applicable Products required for their implementation.
The Organizational License provides expanded internal usage and implementation rights during the active license term.
Subject to the terms associated with each Product or Licensed Material, these rights may include:
Multi-leader and multi-team internal implementation;
Cross-department internal use;
Multi-location internal use;
Manager onboarding and leadership development use;
Broader organizational implementation of the IDEAL Leadership Framework™ and supporting methodology;
Internal sharing of applicable Licensed Materials;
Use of applicable Licensed Materials within approved internal systems, including an LMS, intranet, or shared organizational drive, where permitted by the applicable Product terms; and
Continued organizational implementation throughout the active license term.
The Organizational License is intended to give organizations a consistent way to implement IDEAL more broadly while allowing internal Learning & Development, Human Resources, Organizational Development, and leadership teams to integrate IDEAL with organizational priorities and existing practices.
4. Products Are Purchased Separately
The Organizational License provides expanded internal usage rights. It does not automatically include Goal Go-Getters Products.
Organizations must separately purchase the Products needed for their implementation, which may include:
IDEAL Leadership Framework™ Guides;
IDEAL Leadership Framework™ Training Course access;
Planners and calendar planners;
Team-building activities and products;
Implementation tools and resources; and
Other applicable Goal Go-Getters Products.
This model allows organizations to select the Products and quantities appropriate for their implementation rather than requiring a predetermined product package.
5. Product-Specific Access, Sharing & Exceptions
An active Organizational License does not automatically make every Goal Go-Getters Product unlimited, transferable, reproducible, or shareable.
Certain Products may have individual access, quantity, format, or participation requirements.
For example, the IDEAL Leadership Framework™ Training Course is designed to support and track individual participant progress. Separate course access may therefore be required or recommended for individual participants.
Physical Products must generally be purchased in the quantities required for their intended use and may not be reproduced merely because an Organization holds an Organizational License.
Applicable digital Licensed Materials may be shared internally only as permitted by the terms associated with those materials and this Agreement.
Goal Go-Getters recognizes that organizations may have different implementation needs. Exceptions or alternative internal-use arrangements may be considered on a case-by-case basis.
For example, an Organization that does not require individual Training Course progress tracking may request permission for an alternative internal training or sharing arrangement.
Any use outside the standard rights provided by this Agreement must receive prior written approval from Goal Go-Getters LLC.

6. Permitted Internal Use
Within the applicable purchase and license scope, Users and Organizations may use Goal Go-Getters Products and Licensed Materials for purposes including:
Leadership development;
Employee development;
Team development and engagement;
Manager onboarding;
Internal leadership training;
Organizational goals and priorities;
Leading organizational change;
Continuous improvement;
Internal meetings, planning, and facilitated discussions; and
Other internal organizational applications consistent with the intended purpose of the applicable Product.
Organizations may integrate IDEAL with existing internal frameworks, systems, assessments, goals, processes, and organizational practices.
Where a Product includes editable fields, exercises, worksheets, prompts, or implementation tools, Users may complete and use those materials for their permitted internal purposes.
7. Restrictions
Unless expressly authorized by this Agreement or separately approved in writing by Goal Go-Getters LLC, You may not:
Resell, sublicense, distribute, or transfer Products or Licensed Materials to third parties;
Reproduce Products for additional users instead of purchasing required copies or access;
Share Products beyond the scope of Your applicable purchase or Organizational License;
Provide unauthorized third parties with access to Products or Licensed Materials;
Offer Goal Go-Getters Products, frameworks, methodologies, or Licensed Materials as standalone client deliverables;
Conduct external or public training using Goal Go-Getters proprietary materials;
Use Goal Go-Getters Products or methodologies for unauthorized client-facing consulting or facilitation;
Remove, obscure, or alter Goal Go-Getters branding, copyright notices, trademarks, or attribution;
Copy, translate, substantially modify, adapt, reproduce, or create derivative works from proprietary frameworks, methodologies, or Products except for expressly provided editable or customizable portions;
Upload Licensed Materials to public websites, marketplaces, public repositories, or unauthorized external platforms;
White-label or rebrand Goal Go-Getters Products, frameworks, or methodologies;
Represent yourself or your Organization as certified, endorsed, authorized, or affiliated with Goal Go-Getters unless Goal Go-Getters has expressly granted that status in writing; or
Use Goal Go-Getters intellectual property beyond the scope of the rights expressly granted.
All rights not expressly granted are reserved by Goal Go-Getters LLC.
8. Consultants, Coaches & Third-Party Use
The standard Organizational License is for internal organizational use only.
It does not grant consultants, coaches, trainers, facilitators, contractors, or other third parties the right to use Goal Go-Getters frameworks, methodologies, Products, or Licensed Materials with their own clients or external organizations.
Goal Go-Getters may separately authorize external or third-party use through written agreements, partnerships, training requirements, or other approved arrangements.
Goal Go-Getters also anticipates developing future opportunities to work with experienced consultants who bring their own professional expertise and are trained in Goal Go-Getters Products and methodologies.
Any such future partnership, authorization, training, or external-use arrangement will be governed by separate written terms and is not included in the standard Organizational License.
9. Ownership & Intellectual Property
All frameworks, methodologies, Products, content, designs, trademarks, trade names, educational materials, exercises, tools, graphics, videos, documentation, and other proprietary materials are and remain the intellectual property of Goal Go-Getters LLC or their respective rights holders.
This includes, without limitation, the IDEAL Leadership Framework™ and its supporting methodology.
Purchasing a Product or Organizational License grants only the usage rights expressly described in this Agreement. It does not transfer ownership of the underlying intellectual property.
Nothing in this Agreement grants the User or Organization ownership of Goal Go-Getters intellectual property.
10. Organizational License Billing, Renewal & Cancellation
Organizational License pricing is provided by quote based on the Organization’s needs, intended implementation, and applicable licensing requirements. The applicable license price and any additional terms will be communicated to the Organization before purchase or activation.
The IDEAL Leadership Organizational License is currently offered as a six-month license term. Unless otherwise stated in the Organization’s approved quote or written licensing terms, the Organizational License automatically renews every six months at the applicable renewal price.
Organizations may cancel at any time to prevent the next renewal charge. Cancellation does not immediately terminate rights already paid for. Organizational usage and implementation rights remain active through the end of the current paid six-month license term.
After cancellation, no additional renewal charge will occur unless the Organization later purchases or reactivates a new license.

Refunds are not provided for partial license periods following purchase or renewal except where otherwise required by applicable law or expressly provided by Goal Go-Getters' applicable refund policy.
11. License Term, Expiration & Termination
Organizational License rights remain active for the license term purchased.
Goal Go-Getters may suspend or terminate license rights where:
A material provision of this Agreement is breached;
Required payment obligations are not fulfilled;
Products or Licensed Materials are used outside the permitted license scope; or
Goal Go-Getters intellectual property is reproduced, distributed, sublicensed, or otherwise used without authorization.
When an Organizational License expires or terminates, the Organization must cease exercising the expanded organizational rights provided by that license.
Expiration of an Organizational License does not require an Organization to surrender or destroy legitimately purchased physical Products. However, possession of those Products after expiration does not provide continued organization-wide reproduction, sharing, distribution, LMS, multi-team, or other expanded rights that existed solely because of the Organizational License.
Licensed digital materials that were provided specifically for organization-wide sharing or implementation must no longer be distributed or made available beyond any continuing rights expressly provided by the applicable Product terms.
12. Self-Led Implementation & Professional Support
Goal Go-Getters is intentionally product-led. Products are designed to provide leaders and organizations with instruction, tools, exercises, resources, and implementation guidance that can support self-led internal implementation.
The IDEAL Leadership Framework™ Guide includes guidance, examples, and resources for introducing IDEAL to teams and beginning implementation.
Organizations are not required to retain Goal Go-Getters for ongoing consulting services.
Internal Learning & Development, Human Resources, Organizational Development, and leadership professionals may use their organizational knowledge and expertise to integrate IDEAL into their environment, reinforce its use, connect it with existing practices, and determine appropriate methods for measuring its use and impact.
Organizations remain responsible for determining whether and how a Product or methodology is appropriate for their particular circumstances.
13. Third-Party Tools & Platforms
Certain Products or services may reference, use, link to, or integrate with third-party tools, software, websites, platforms, or services.
Use of third-party services is subject to the terms, policies, availability, and practices of those third parties.
Goal Go-Getters LLC is not responsible for the availability, performance, security, content, or policies of third-party services outside its control.
14. Educational Purpose; No Professional Advice
Goal Go-Getters Products and Licensed Materials are provided for educational, developmental, and informational purposes.
They do not constitute legal, financial, accounting, medical, employment-law, HR, or other regulated professional advice.
Organizations remain responsible for their employment decisions, policies, management practices, legal compliance, and business decisions.
Goal Go-Getters LLC does not guarantee specific financial, business, leadership, employee, team, or organizational outcomes from use of its Products, frameworks, methodologies, or Licensed Materials.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Goal Go-Getters Products, licenses, materials, and services are provided “as is” and “as available.”
Goal Go-Getters disclaims warranties of any kind, express or implied, to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability.
Nothing in this section excludes warranties or rights that cannot lawfully be excluded.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Goal Go-Getters LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to use of Goal Go-Getters Products, licenses, frameworks, methodologies, or Licensed Materials.
To the maximum extent permitted by law, Goal Go-Getters LLC's aggregate liability arising from the applicable Product, service, or Organizational License will not exceed the amount paid to Goal Go-Getters for the Product, service, or license giving rise to the claim.
Nothing in this Agreement limits liability that cannot lawfully be limited.
17. Written Permissions & Exceptions
Goal Go-Getters LLC may grant additional, alternative, or exceptional usage rights in writing on a case-by-case basis.
Any exception applies only to the specific User, Organization, Product, purpose, and circumstances expressly approved by Goal Go-Getters.
An exception granted in one situation does not modify this Agreement generally or require Goal Go-Getters to grant the same exception to another User or Organization.
Unless expressly stated otherwise, verbal discussions do not modify the rights granted under this Agreement.
18. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.
19. Changes to This Agreement
Goal Go-Getters LLC may update this Agreement periodically to reflect changes to its Products, licensing model, business practices, or applicable requirements.
The current version will be posted with an updated effective date.
For an active paid Organizational License term, material changes to license scope, billing, or usage rights will be applied subject to applicable law and the terms in effect for that purchase or renewal.
